Matthew Scherer is a partner in Hodgson Russ’ Corporate & Business Practice, where he advises private equity sponsors, closely held businesses, and strategic acquirers on complex transactions. He guides clients through all stages of the deal lifecycle, structuring and negotiating mergers and acquisitions, leveraged buyouts, growth equity investments, divestitures, and internal reorganizations with a practical, business-focused approach.

Matthew has significant experience handling domestic and cross-border matters, including representing Canadian companies investing in U.S. operations and private equity sponsors executing platform and add-on acquisitions. He structures transactions to reflect each client’s objectives, whether leading a transformative acquisition or supporting ongoing deal activity.

In addition to his transactional practice, Matthew serves as outside counsel to privately held and closely held businesses, advising owners, executives, and boards on governance, strategic planning, and complex commercial matters. He works across a range of business-critical agreements, including supply, distribution, licensing, and professional services arrangements, helping clients manage risk while advancing their business objectives.

Clients turn to Matthew not only to execute transactions, but to anticipate and address issues that arise beyond closing. He advises on management incentive structures, acquisition strategy, and exit planning, positioning clients for long-term success. Matthew is known for his practical approach and for building lasting relationships grounded in a deep understanding of each client’s business and priorities.
